VeChainWorld User Service Agreement
Dear user:
Thank you for choosing to use the VeChainWorld. In order to provide you a better service, please read the VeChainWorld User Service Agreement (hereinafter referred to as “the Agreement”). The Agreement is signed by and between VECHAIN FOUNDATION LIMITED (hereinafter referred to as "the Foundation”) and you, and both parties are bound by the Agreement. In the Agreement, you and the Foundation are referred to as "one party" and collectively as "two parties."
Please be sure to read and understand the content of this Agreement carefully and fully, especially the terms of exemption or limitation of liability, governing law and dispute resolution. The terms of exemption or limitation of liability will be marked in bold and underlined, which you should fully understand.
You understand that when you use the VeChainWorld and its related services(hereinafter referred to as “Service”), or follow the VeChainWorld page information to fill in the information, read and agree the Agreement and complete all registration procedures, you shall be deemed to have fully read and understood all the terms of the Agreement, and reached an agreement with the Foundation to voluntarily accept and be bound by all the terms of the Agreement and become the “user” of the VeChainWorld.
In the process of reading the Agreement or using the Service, if you do not agree to the Agreement or any of its terms, you should immediately stop the registration process or use the Service provided by the VeChainWorld. You understand and agree that if you have any breach of the Agreement, the VeChainWorld reserves the right to unilaterally restrict, suspend or terminate the provision of the Service to you base on the degree of your breach, and has the right to pursue your relevant responsibilities.
ARTICLE I. CONFIRMATION AND ACCEPTANCE OF THE AGREEMENT
1.1 Confirmation and Acceptance
1.1.1 You understand that the Agreement applies to the VeChainWorld and the Foundation and its affiliated parties’ other products and services which display or are linked to the Agreement.
1.1.2 The content of the Agreement also includes relevant agreements and rules relating to the Service that have been released and may be continuously released or updated. The latest service agreement will be published through the VeChainWorld’s website without further notice, and you should always pay attention to the new announcement issued through the website to acquire such information. If you continue to use the Service after the modification or change of the Agreement, you shall be deemed to have read, understood, confirmed and agreed to accept the modification or change; if you do not accept the service agreement or rules that is subsequently announced or updated by the Foundation, please immediately stop using the Service.
ARTICLE II. DEFINITION
2.1 VeChainThor Blockchain: refers to the global leading blockchain public chain platform designed and developed by the Foundation to support large-scale enterprise applications. It has a comprehensive economic model, advanced technology concepts and a strong governance structure to ensure the commercialization of blockchain technology and to provide enterprises and individuals with simple and secure blockchain solutions.
2.2 VeChainWorld: refers to website “https:// www.vechainworld.io”(hereinafter referred to as the“Website”), owned and controlled by the Foundation, and the sub-pages of the aforementioned website, which are collectively referred to as the VeChainWorld.
2.3 User: refers to the individual, legal person or other organizations who accept and agree to all terms and conditions of the Agreement and related agreements and rules published or updated from time to time, and use the Service and/or complete registration. If you are an individual user, you shall acknowledge that you must be at least 18 years of age (or above 18, which depends on the legal age of majority in your jurisdiction) before you use the Service and/or begin the registration process and you should have the capacity for civil conduct that is appropriate to your conduct as required by the laws of your jurisdiction. You acknowledge and agree that if you do not have the aforementioned civil capacity to be appropriate to your conduct, you and your guardians shall be responsible for all consequences resulting from the law and the Foundation shall have the right to claim reimbursement from you and your legal guardian.
2.4 Developer: refers to the individual, legal person or other organizations who have effectively registered, applied for and obtained the permission of the Foundation, then launch and operate the BlockChain Application, which developed and created in their own name or is legally authorized to them, on the VeChainWorld, and bear independent legal liability for providing other users with various services.
2.5 BlockChain Application: As known as Blockchain Application, refers to a blockchain application developed, written, or legally authorized by a developer in his or her own name. The above application is run by its developer in the VeChainThor Blockchain after it has launched on the VeChainWorld, and its developer is entitled to operate and bear sole legal responsibility for its operation. BlockChain Application hereinafter also written as "application".
2.6 Personal Information: refers to various information of a natural person recorded by electronic or other means that can identify the user's personal identity or reflect the user's personal activity, either alone or in combination with other information, including but not limited to the name, date of birth, ID number, personal biometric information, address, communication and contact information, etc.
2.7 User Data: refers to user-related data generated by users in using the Service, including but not limited to voice data and image data submitted by users, and data formed by users’ operation, etc. However, for the purpose of the Agreement, the user-related data generated during users’ operation of BlockChain Application is not included, including but not limited to voice data and image data submitted by users through the BlockChain Application, and data formed by users’ operation through the BlockChain Application, etc. The ownership of user data and other related rights shall belong to the Foundation and is the Foundation's trade secret, except relevant rights that are legally owned by users according to law, and these rights shall not affect other legal rights enjoyed by the Foundation for the User Data.
2.8 VeChainWorld Operational Data: refers to relevant data generated by users in using the Service, including but not limited to data submitted by users, data formed by operational activities, and various transactional data. The ownership of VeChainWorld Operational Data and other related rights shall belong to the Foundation,and it is a trade secret of the Foundation, except relevant rights that are legally owned by users according to law, and these rights shall not affect other legal rights enjoyed by the Foundation for the VeChainWorld Operational Data.
ARTICLE III SERVICE CONTETNS
3.1 BlockChain Applications Module
3.1.1 Check BlockChain Application
3.1.1.1 Search and view. You can input the name of BlockChain Application or the keyword or the BlockChain Application tag set by the developer in the Website search section (search), click on the Enter Key, then the search results will be displayed on the website and you can select to view.
The search results obtained according to the above steps are fuzzy search, global search, and only search for up to 20 characters of content.
You can access the BlockChain Application details page by clicking on the BlockChain Application card in the search results. You can access the developer Personal Center to view the content by clicking on the developer's name.
3.1.1.2 Category view. You can click on the specific category in the BlockChain Application category section of the Website, including All, Games, Social, Market, Sweepstakes, Business Applications, Internet of Things and Test Zone, then the details page of the category you choose will be displayed on the Website and you can select to view.
You can access the BlockChain Application details page to view the content by clicking on the BlockChain Application card in the category details page. You can access the developer’s Personal Center to view the content by clicking on the developer's name.
3.1.1.3 To “Like”. You can like a BlockChain Application provided that you have logged in, or otherwise the page will automatically jump to the login page.
3.1.1.4 Add to favorite. You can add a BlockChain Application to your favorite provided that you have logged in, or otherwise the page will automatically jump to the login page.
3.1.2 Test the BlockChain Application
3.1.2.1 View the BlockChain Application that can be tested. You can view all sorted BlockChain Applications that are issued on VeChain test net by clicking on the "Test Zone" in the BlockChain Application category section of the Website and clicking on the BlockChain Application card to access the test details page.
3.1.2.2 Please note that the BlockChain Application for testing is only open to you as an experience product. Do not add credit with any real digital assets during use. The Foundation shall not be held liable for any loss of digital assets resulting from your deliberate or negligent conduct.
3.1.3 Submit BlockChain Application
3.1.3.1 If you are a developer, you can also launch a BlockChain Application in the VeChainWorld, which is developed and created in your own name or is legally authorized to you, by clicking on "Submit Application" in the VeChainWorld module bar.
3.1.3.2 Fill in the information. When submitting a BlockChain Application, you need to select or fill in the following information including but not limited to:
In addition, you can choose whether to automatically launch the BlockChain Application after the approval.
You understand and promise that all of the information aforementioned you provide to the Foundation is true and accurate. If any damages are caused to you, the Foundation and other third parties due to the errors or omissions of the information aforementioned, you shall assume all responsibility and waive all the right to seek consequent recovery from the Foundation.
3.1.3.3 Preview/submit for approval. When you have completed the information, you can click on "Preview" or "Submit for Approval". Click "Preview", you will be able to see the preview of the application in corresponding language, which is in line with details page if the application is launched. If you do not complete the required information, the VeChainWorld will prompt you with "Please complete the required information first". Click on "Submit for Approval”, the Foundation will complete review within 1-5 working days after you submitting the application by clicking on “Submit for Approval”.
3.1.3.4 Withdraw the BlockChain Application.
You can withdraw the BlockChain Application through Personal Center of the VeChainWorld.
3.2 Account Module
3.2.1 Registration
3.2.1.1 Fill in the information. In order to successfully register a VeChainWorld account (hereinafter referred to as the "Account"), you need to fill in the user ID, email, verification code, account password and re-enter the confirmation password according to the prompt on the account registration page.
3.2.1.2 Read the Agreement. In order to help you protect your rights and fulfill your obligations better, please read the VeChainWorld User Service Agreement and the Privacy Policy Statement carefully, check the "I have read" option and click on the "Register" button with full knowledge and consent to the contents of the agreements aforementioned.
3.2.1.3 Activate email. After the successful registration, using the pop-up window, the Website will prompt you to activate the account by the registered mailbox. You can log in to the login page of the mailbox by clicking "Go to Mail" to activate the login.
3.2.2 Login
3.2.2.1 Login Operation. You can log in by entering the user ID and account password and clicking on "Login". If you have not registered yet, you can click on "Register" to register an account. After the login is successful, the page will automatically jump back to the page where the login has been initiated.
3.2.2.2 Login Verification. If you commit three consecutive login failures in a row with the same IP address, you shall enter a verification code for login verification each time you try log in since then until your next successful login.
3.2.2.3 Detection of Disabling Account. When you enter the user ID and account password on the login page to log in, the system will automatically detect whether the account is disabled after the login information is successfully verified. If your account has been disabled, you will be prompted and provide two options: "Apply for Unblock" and "Cancel Account". If you click on "Apply for Unblock", the page will automatically jump to the email-sending page; if you click on “Cancel Account”, you will enter the account cancellation operation.
3.2.2.4 Forgot Password. If the user ID and account password you entered do not match, you will be prompted that "The password you entered does not match the user ID. Have you forgot your password?” You can click on "Forgot Password" and follow the page notice to complete the password retrieval operation.
3.2.3 Personal Center
3.2.3.1 Personal Center. After you have successfully logged in, click on your profile picture or user ID in the upper right corner of the Website to enter the Personal Center.
In the Personal Center you can edit information, view and manage your applications, view your templates, documents, your posts, and your favorites.
3.2.3.2 Information Editing. You can access the information editing page by clicking on "Edit Information" in the Personal Center. On this page, you can edit or modify your profile picture, gender, country and region, binding email, and also cancel your account. Please note that once the user ID is registered, it cannot be modified.
3.2.3.3 Account Cancellation. You can click on “Edit Information” in the Personal Center to go to information editing page. Then you can click on “Cancel the Account” to cancel your account after email verification.
3.2.3.4 Your application. If you are a developer, you can view the BlockChain Application that is already launched and that not launched yet as well in the Application Launch Management and Application Update Management columns respectively.
3.2.4 Message Center
3.2.4.1 In the Message Center, you can view all the messages that the VeChainWorld notifies you, including but not limited to “Submission Failed”, “Submission Approved” and “Launched Successfully”.
3.2.4.2 Click on "Resubmit" under the status of "Submission Failed", it will jump to the Submit BlockChain Application.
3.2.4.3 Click on “Launch” under the status of “Submission Approved”, it will jump to Personal Center.
3.2.4.4 Click “Go to View” under the status of “Launched Successfully”, it will jump to the details page.
3.3 Developer Zone Module
3.3.1 Developing documents issued by the Foundation.

ARTICLE IV. RIGHTS AND OBLIGATIONS OF USERS
4.1 Account Registration and Use
4.1.1 The account you have registered has a commonality in VeChain’s ecosystem, that is, you can use this account to access other applications or websites owned, controlled, and operated by the Foundation or its affiliates. When you log in with your account and use services provided by the aforementioned applications or websites, you and the actual service provides will be bound by the terms and conditions of the user agreement and other agreements of the aforementioned services.
4.1.2 You can initially edit the user ID requested in registration information and set your own password that meet the security requirements. The user ID must contain letters, numbers and underlines and should not more than 50 characters in length. The user ID and password you set are the credentials you use to log in and use the Service. You understand and guarantee that the User ID, avatar picture, developer name, etc. you set should comply with relevant laws and regulations and must not contain illegal and adverse information.
4.1.3 You understand and guarantee that you are a natural person, legal person or organization with full capacity for civil rights and civil conduct, and you shall liable for the authenticity, accuracy and integrity of any information you provide according to any relevant laws, regulations, and the terms of the Agreement. The Foundation reserves the right to verify the information you have provided during registration. If you are a minor or a person with limited capacity for civil conduct, you are not qualified to register an account with the VeChainWorld. You and your legal guardian shall bear all the consequences resulting from any improper registration. The Foundation reserves the right to deregister your account and terminate all of the services that were enabled for you, and to claim reimbursement from you and your legal guardian.
4.1.4 You understand and agree that your identity information may be requested to complete real-name authentication that required by relevant laws and regulations of the jurisdiction applied to the Agreement when some functions are to enabled, such as submitting applications, posting information on online forums, etc. The Foundation reserves the right to request you to provide further detailed identity information, business licenses and other materials to complete the authentication. If the information you provided or the submitted materials are not qualified or do not meet the requirements, the Foundation reserves the right not to provide you with relevant services, and some functions may be limited during your use.
4.1.5 You acknowledge and agree that your account is only for your own use and that it is prohibited to grant, borrow, rent, transfer, sell or permit others to use the account in any other way. The Foundation reserves the right to promptly suspend or disable all of services or deregister your account for ensuring the account security if it is aware of or has reasonable grounds to believe that the user is not the initial registrant of the account.
4.1.6 You acknowledge and agree that, in the event of one or more of the following, the Foundation will not be liable or responsible for all consequences (including but not limited to any losses of yours):
i You violate laws and regulations, the Agreement and subsequent related service agreements or rules that may be released or updated;
ii In accordance with relevant laws and regulations or at the request of the administrative or judicial authorities, the Foundation has the right and obligation to deregister your account and disable services, resulting in your inability to log in the Foundation or to use its services.
4.1.7 You are solely responsible for keeping your account and password secure and using them appropriately. You shall be liable for any consequences that may arise from your failure to keep them secure. You shall be liable for the activities performed under the name of your account, including but not limited to all legal liabilities that may arise from testing applications, submitting applications, and posting information in forums. In the process of using the account, you shall not violate laws and regulations and relevant requirements of the Foundation, and shall not implement any behavior that will infringe national interests, harm legitimate rights and interests of other citizens, and contradicts to social morality.
4.1.8 If you find that your account has been used by others without your permission or used abnormally, you should promptly notify the Foundation in an effective manner (including but not limited to providing your identity information and relevant supporting documents, related facts and your requirements, etc.). You may request the Foundation to take action to suspend any unauthorized login or use of your account. If the information you provided is so limited that the Foundation cannot verify your identity or cannot judge your requests, the Foundation will not process your request, and you should bear the losses caused to you. After receiving your valid request and verifying your identity, the Foundation will take appropriate measures according to different situations. You understand that it will take time for the Foundation to take action and the Foundation shall not be liable for any consequences that occur before the action is taken, including but not limited to any losses incurred.
4.2 General Guideline for Users
4.2.1 You shall not use the Service to engage in illegal or criminal activities such as impairing national security or disclosing national secrets. You shall not use the Service to produce, upload BlockChain Applications that violates the constitution and laws, hinders social security, undermines national unity and ethnic solidarity or contains pornographic or violent content. You shall not read, copy, comment, post or disseminate information contains content as follows:
If you violate the above provisions, the Foundation reserves the right to remove information, suspend or terminate the services in accordance with the terms of the Agreement, and have the right to suspend or disable some or all of the functions of your account.
4.3 Guidelines for Developers
4.3.1 The developer should have relevant legal qualifications or are approved by relevant government departments so that you are qualified to use the VeChainWorld services, get access to and operate BlockChain Applications. By providing related services via BlockChain Applications uploaded on the VeChainWorld, the developer shall have the relevant legal qualifications or are approved or permitted by relevant government departments.
4.3.2 The developer shall be solely liable for the creation, development, edition, improvement, modification, testing, operation and maintenance of your own BlockChain Applications, and bear relevant expenses on your own. The applications submitted by the developer shall subject to applicable laws and regulations, technical specifications or standards, and meanwhile, shall also accord with the unified requirements on technology, security and privacy protection of the VeChainWorld. The developer shall be liable for the legality of all actions of your application in the course of their operation.
4.3.3 The Foundation reserves the right to require the developer to provide copyright, patent and other relevant supporting documents when the developer submit BlockChain Applications. The developer shall warrant that the way you use the Services and any other behavior will not infringe any other’s legitimate rights and interests, including but not limited to intellectual property rights such as trademarks, patents, and copyrights, etc. The developer understands and agrees that if the Foundation finds any possible infringement of another person’s legal rights or interests on its own or according to information of relevant departments or complaints from claimants, the Foundation is entitled to decide independently whether the infringement really exists based on common sense. Once the Foundation is convinced that there is an infringement of another person’s legal rights and interests after reasonable judgment, the Foundation is entitled to unilaterally take one or multiple of the following actions:
The Foundation only execute formal examination for supporting documents provided by Developers rather than substantive examination, and the Foundation will not know the authenticity of these documents and has no obligation to verify it. As for the BlockChain Application which has infringed legitimate rights and interests of others, if it no longer infringes other’s legitimate rights and interests after being modified, you acknowledge and agree that in order to maintain a fair and equitable operating environment of the VeChainWorld, the Foundation still has the right to remove such modified BlockChain Application from the VeChainWorld.
4.3.4 Developers shall warrant that the way you use the Service and any other behavior will not violate any laws and regulations, the Agreement, and related agreements and rules, etc. Developers understand and agree that if the Foundation finds any possible violation of the aforementioned on its own or according to information of relevant departments or complaints from claimants, the Foundation is entitled to decide independently whether the infringement really exists based on common sense. Once the Foundation is convinced that there is a violation after reasonable judgment, the Foundation is entitled to unilaterally take one or multiple of the following actions regulated in Clause 4.3.3.
ARTICLE V. RIGHTS AND OBLIGATION OF THE FOUNDATION
5.1 Rights
5.1.1 Based on the comprehensive factors such as the user experience, operation safety of the VeChainWorld, the rules and requirements of the VeChainWorld and healthy development, the Foundation is entitled to choose the targets to provide services or cooperate with, to decide whether to open a certain function, data interface and the objects and scope of relevant data disclosure, and to restrict, suspend or terminate providing the user with the Service, including but not limited to such actions as deleting information, removing application or disable the user’s account.
5.1.2 If the Foundation in its sole discretion believes that the way the developer collects and uses the end-users’ data may damage the user experience, you shall, if requested by the Foundation, immediately delete such data and no longer collect and use such data in that way. If the Foundation requests you to delete any end-users’ data, you shall: render any requested data, especially such data related to personal information, anonymous or permanently delete or render permanently unreadable.
5.1.3 The Foundation has the right to restrict or prevent the developer from accessing end-users’ data. However, the Foundation does not control and does not have any obligation to monitor:
You acknowledge and agree that the Foundation reserves the right to, and may from time to time, monitor any and all information transmitted or received through the service for operational and other purposes. If at any time the Foundation chooses to monitor the content, the Foundation still assumes no responsibility or liability for content or any loss or damage incurred as a result of the use of content. During monitoring, information may be examined, recorded, copied, and used in accordance with our Privacy Policy Statement available at https://cdn.vechain.com/vechainworld/privacypolicy_en.html.
5.1.4 Except to the extent such data is owned by Users in accordance with law and such ownership will not affect legitimate rights and interests of the VeChainWorld, all the rights in user data or other data processed or stored within the VeChainWorld belong to the Foundation, are deemed trade secrets of the Foundation.
5.2 Obligations
5.2.1 The Foundation has the obligation to ensure the continuity and security of the VeChainWorld based on the existing technology level, to do its best to avoid service interruption or to limit the interruption time (if any) to the shortest time, so as to ensure the smooth use of services provided by the VeChainWorld.
5.2.2 The Foundation is under no obligation to edit or control the content and services of BlockChain Application provided by you or other developers, and will not be in any way responsible or liable for the content and services of BlockChain Application.
ARTICLE VI. CHANGE, SUSPENSION AND TERMINATION OF THE SERVICE
6.1 You understand and agree that the Service are provided based on the current technology and condition. The following reasons may result in temporary suspension of services:
6.1.1 Technical reasons such as maintenance, upgrading, failure of equipment and system;
6.1.2 Force majeure events including but not limited to earthquake, tsunami, flood, power outrage, war or terrorist attack;
6.1.3 Viruses, Trojan horse, malicious program attacks, network congestion, system instability or equipment failure, communications failure, power failure, bank reasons, third-party service defects, or government behaviors;
6.1.4 Material unfavorable change of applicable laws or policies;
6.1.5 Other circumstances that the Foundation cannot control or reasonably predict.
6.2 The Foundation reserves the right to unilaterally suspend or terminate all or part of functions of the VeChainWorld, and the right to claim reimbursement from users for the losses that the Foundation has suffered under the following circumstances:
6.2.1 If the Foundation suffers loss caused by false, incomplete or inaccurate information provided by the user;
6.2.2 If the user violates laws and regulations or the provisions of the Agreement, and uses the VeChainWorld to engage in illegal activities, including but not limited to money laundering, illegal fund-raising, illegal absorption of public deposits, bribery, etc.;
6.2.3 If the user takes any technical measures to interfere with the operation of the VeChainWorld (including but not limited to attacks, intrusions, alterations, or in any other manner that threaten the normal operation of the Foundation’s computer system) or to interfere with other users’ use of VeChainWorld.;
6.2.4 If the user maliciously destroys the reputation of the VeChainWorld and the Foundation by making fictional facts;
6.2.5 Death of the user;
6.2.6 Other circumstances that the Foundation have reason to believe it is necessary to suspend or terminate the user's use of the VeChainWorld.
6.3 If the Agreement or the Service terminates for any reason, the Foundation is entitled to keep any data after taking anonymous measures or delete any data in your Account or any information stored in the VeChainWorld server arising from your use of the Service.
6.4 If the agreement or the Service terminates for any reason, the developer shall back up the data and other related information by yourself and deal with your relevant matters between you and end-users, independently and you shall compensate for any losses suffered by the Foundation. You acknowledge and agree that all losses you suffered arising from aforementioned causes, the Foundation shall not bear any liability.
ARTICLE VII. PRIVACY POLICY
7.1 The Foundation attaches great importance to the protection of users’ personal information and privacy. When you use the Service, the Foundation may collect and use your personal information (including but not limited to name, email address, location, etc.) in order to provide you with better service and corresponding technical support. The Foundation will use a variety of security technologies and procedures to establish a complete management system to protect your personal information from unauthorized access, use or disclosure. For details on the users’ personal information protection, please refer to Privacy Policy Statement.
ARTICLE VIII. DISCLAIMER
8.1 You understand and agree:
8.1.1 The Foundation does not give any express or implied warranties, including but not limited to the service applicability, zero errors or omissions, sustainability, accuracy and reliability of the VeChainWorld. At the same time, the Foundation does not make any commitment or guarantee for the validity, accuracy, correctness, reliability, quality, stability, completeness and timeliness of the technology and information involved in the Service.
8.1.2 The Foundation shall not assume any responsibility for the user’s failure to visit the VeChainWorld, and the consequent delay, stagnation or incorrectness of the information and data presented in the VeChainWorld and for any loss of the user incurred thereby. Aforementioned may be caused by force majeure (refers to government actions such as modification of policies, laws and regulations, natural disasters, war, disruption of communication, hack attack, computer virus intrusion or attack, technical adjustment of telecommunication institutions, and governmental control behaviors that cause the temporary shutdown of the software or any other unexpected incidents that affect the regular operation of the VeChainWorld), a third party’s deliberate destruction, the instability of the system, as well as network congestion. In the above situations, the Foundation will try to cooperate with the relevant units in the first time to repair in a timely manner. If the loss is caused to you, you agree hereby to waive the responsibility of the Foundation.
8.1.3 In order to provide you with better services, the Foundation has the right to overhaul, maintain, upgrade, etc., the VeChainWorld or related equipment on a regular or irregular basis, which may cause the related services to be interrupted or suspended within a reasonable period of time. If this causes you any loss, you hereby agree to waive the responsibility of the Foundation.
8.1.4 The VeChainWorld is a neutral platform service provider that only provides developers with a decentralized underlying blockchain open platform and consensus mechanism under the Agreement, and does not directly obtain economic interests from developers submitting and/or placing BlockChain Applications. The VeChainWorld will provide developers with free choice of development technology services, open interfaces and information storage space and other neutral services, so that users can freely choose the blockchain application services provided by developers according to their own needs. The Foundation has the right to choose developers who use the Services based on factors such as orderly operation and healthy development of the VeChainWorld.
8.1.5 The BlockChain Application submitted by the developer on the VeChainWorld is developed or legally operated by the developer in its own name and assumes full legal responsibility independently. The Foundation will not, and cannot participate in any activities such as the developer's BlockChain Application development, operation, etc., and the Foundation will not make any modifications or edits to the developer's BlockChain Application, and so on. Any responsibility and compensation for the loss of any infringement dispute and other responsibility arising from the BlockChain Application submitted by the developer through the VeChainWorld and related services provided by the developer, and any consequences arising from the violation of relevant laws and regulations or the provisions of the Agreement by the developer, shall be assumed by the such developer independently. In this regard, the Foundation does not know and has no reasonable reason to know the matters aforementioned and does not assume any responsibility or obligation. If the developer's behavior or the BlockChain Application or the services provided by it infringe upon the Foundation’s rights and interests, the developer shall bear full responsibility and compensate for all losses rendered. The Foundation is not responsible for any the consequence of the user's operation of the BlockChain Application launched by the developer.
ARTICLE IX PROTECTION OF INTELLECTUAL PROPERTY
9.1 Protection of Intellectual Property
9.1.1 Except to the extent such rights are owned by users in accordance with law and agreements, the Foundation is the holder of the intellectual property rights of the content and resources provided by the VeChainWorld (including the Agreement, announcements, articles, videos, audios, graphics, archives, information, materials, trademarks or logos). Users may only use the VeChainWorld and its content for the purpose of accessing to or using the services, and shall not reproduce, modify, copy, transmit or use any of aforementioned materials or content for commercial purposes.
9.1.2 All the copyrights and trademarks of the distinctive brand features, such as “唯链”, “VeChain”, the Foundation use in providing the services belong to the Foundation or its affiliates. Any individual or entity shall not copy, reproduce or quote them in any form without the prior written consent of the Foundation, otherwise, the Foundation will investigate your legal liability.
9.1.3 Users have the right to appropriately use the services and products provided by the VeChainWorld in accordance with the Agreement, including but not limited to using BlockChain Applications, using the open interface of the VeChainWorld, reading or downloading development documents and development templates, etc. However, all the rights of intellectual property such as copyright and patent of aforementioned materials and products and services provided by the VeChainWorld are owned by the Foundation or a third party in accordance with laws and regulations. Without the written permission of the Foundation, users shall use products and services in accordance with the Agreement and laws and regulations, and shall not sell, transfer or sublicense the aforementioned to any country, organization or individual.
9.1.4 All rights, trademarks, title and interest in and to the BlockChain Application are remain sole with the owner of the BlockChain Application. Your submission of the application grants you no right or license to claim your ownership of such application. For clarity, the Foundation does not own or control BlockChain Applications included in its directory. Downloading, accessing, or using of any BlockChain Applications is subject to any applicable license terms for that application. The Foundation reserves all rights to the materials not granted expressly in these terms.
9.1.5 The Foundation respects intellectual property rights, opposes and combat infringement of intellectual property rights. Any organization or individual believes that the content of the VeChainWorld (www.vechainworld.io) (such as BlockChain Applications or related information posted by developers or any postings, comments in the forum, etc.) may infringe your legal rights and interests, you can send a written notification claiming your rights via support@vechain.com to the Foundation to report the infringement. The Foundation will conduct investigation and take measures accordingly once we receive qualified notification from the holder of the intellectual property rights.
ARTICLE X. GOVERNING LAW AND DISPUTE RESOLUTION
10.1 Governing Law
10.1.1 The effectiveness, interpretation, amendment, supplement and dispute resolution of the Agreement shall be governed by the laws of the Republic of Singapore and can be referred to commercial practices and/or industrial practices if there are no such relevant provisions under the laws of the Republic of Singapore.
10.2 Dispute Resolution
10.2.1 Any dispute arising out of the Agreement or performance of the Agreement, or in connection with the Agreement, including any problem to its existence, validity or termination, the Parties shall endeavor to settle through friendly communication and negotiation. Where any party is unwilling to settle in good faith, or failure to reach an amicable settlement within 30 days from the first day when such dispute occurred, then either party shall have the right to submit the dispute to the International Chamber of Commerce ("ICC") and appoint one or more arbitrators in accordance with the current valid Arbitration Rule to settle. The language for arbitration is English. Unless otherwise agreed by the Parties under the Agreement, the place for arbitration is in the Republic of Singapore and the arbitration award is final and legally binding on the parties.
ARTICLE XI. MISCELLANEOUS
11.1 Miscellaneous
11.1.1 The content of the Agreement includes the VeChainWorld User Service Agreement, Privacy Policy Statement, and various agreements and rules posted and updated by the Foundation from time to time. Unless otherwise agreed, the various composition agreements and rules of the Agreement shall have equal legal effect.
11.1.2 All provisions of the Agreement are severable, and if any provision or part thereof of the Agreement is deemed invalid or otherwise unenforceable, the remaining provisions of the Agreement shall remain valid, enforceable and binding.
11.1.3 Any translated version of the Agreement is only provided for the convenience of the User, and is not intended to modify the Chinese version of the Agreement. If there is any discrepancy between the Chinese version and the non-Chinese version of the Agreement, the Chinese version shall prevail.

11.1.5 The Agreement shall become effective on March 18 2019.
Any matters not mentioned in the Agreement, you shall subject to the announcements and related rules released by the Foundation from time to time.
